Zyrrah: Terms and Conditions

These Terms and Conditions ("Terms") govern your registration for and use of the Zyrrah Platform. They operate together with the Zyrrah Licence Agreement and the Privacy Policy. If there is any inconsistency between these Terms and the Zyrrah Licence Agreement in relation to your licence to use the Zyrrah Platform, the Licence Agreement prevails to the extent of the inconsistency. The handling of your personal information is governed by the Privacy Policy.
By creating an account, you agree to these Terms, the Zyrrah Licence Agreement, and the Privacy Policy. If you do not agree, please do not create an account or use the Platform.

1. About us
The Zyrrah Platform is operated by Pulse Australasia Pty Ltd (ACN 154 929 450) of Level 19, 207 Kent Street, Sydney, New South Wales 2000 ("Zyrrah"). Zyrrah is a platform that provides insights and actionable outcomes to improve the way in which people think, feel and live.

2. The Zyrrah Platform and your account
To use Zyrrah, you create a Zyrrah personal account and profile. Your licence to use the Zyrrah Platform, including access, fees, suspension, and termination, is governed by the Zyrrah Licence Agreement. These Terms supplement that Licence Agreement and do not replace it.
Registering and maintaining an account means:
you can access and use the features of the Zyrrah Platform in accordance with these Terms and the Licence Agreement;
you'll receive service communications from us about your account and the Platform, and (where you have consented) marketing communications including product news, founding member benefits, and referral rewards;
you may be allocated a Founding Member number, which is promotional only and confers no contractual entitlement;
you may be offered trial periods, buddy passes, or referral rewards.
You are responsible for keeping your account credentials secure and for activity that occurs under your account. We may change, suspend, or discontinue the Platform or any feature in accordance with the Licence Agreement.
3. Eligibility
To create a standard Zyrrah personal account, you must be at least 18 years old and provide accurate, current information, consistent with your obligations under the Licence Agreement. We may suspend or remove any account we reasonably believe is fraudulent, duplicated, or non-compliant with these Terms or the Licence Agreement.
Zyrrah may offer access to users under 18 through a separate parental or guardian consent process. Where that applies, the under-18 account is governed by that process together with these Terms. Our handling of personal information relating to children is dealt with in the Privacy Policy.
4. Collection notice
When you create an account and use the Platform, we collect personal information including your name and email address, and information you choose to provide through your profile and your use of the Platform. Some of this information may include information about your health, wellbeing, interpersonal relationships, or workplace relationships, which we treat as Sensitive Information.
The full details of what we collect, how we handle Sensitive Information, the consent on which we rely, and your rights to access, correct, or request deletion of your information are set out in our Privacy Policy, which forms part of these Terms. If you do not provide the information necessary to operate your account, we cannot provide the Platform to you.
5. How we use your information and your marketing consent
We use the information you provide to create and administer your account, provide and personalise the Platform's features, send you service and (where consented) marketing communications, administer founding member benefits and referrals, improve our service, and comply with our legal obligations. The full description of how we use and disclose your information, including Sensitive Information, is set out in the Privacy Policy, which forms part of these Terms.
Marketing consent (Spam Act 2003). You will be asked to confirm separately that you agree to receive commercial electronic messages from Zyrrah under the Spam Act 2003 (Cth). You can withdraw that consent at any time using the unsubscribe link in any email, or by contacting us at admin@zyrrah.app. Once you unsubscribe, we will stop sending you marketing emails, though we may still contact you about important account or service matters. As set out in the Privacy Policy, we do not use identifiable Sensitive Information for marketing unless you have given separate consent.
6. Storage and overseas disclosure
Your information is stored in our systems and those of our service providers, some of which may store or process information overseas. The way we disclose information to service providers, transfer it overseas, and apply safeguards in accordance with the Australian Privacy Principles is set out in full in the Privacy Policy. We do not sell your personal information.
7. Founding member, buddy pass, and referral rewards
We may offer founding member benefits, buddy passes, and referral rewards (such as free trial periods or extended free access) to account holders. These offers are made at our discretion and are subject to additional terms communicated at the time of the offer, including any specific tier structure (for example, free access tied to a number of successful referrals). Any such offer operates alongside the Program Fees and other terms in the Licence Agreement.
We may modify, suspend, or withdraw any benefit, pass, or reward at any time.
How referrals work
Our referral program is link-based. When you refer someone, we provide you with a unique referral link or Buddy Pass code. You share that link or code with the people you choose, through your own channels such as text message, email, social media, or in person. Zyrrah does not collect or contact any third party on your behalf, and we do not ask you to provide anyone else's contact details.
When the person you've shared the link with chooses to sign up to Zyrrah, they do so directly, providing their own information and giving their own consent to our Terms, Licence Agreement, and Privacy Policy. We only ever hold personal information that the person has provided to us themselves.
Successful referrals
A "successful referral" requires the person you have referred to validly create an account using your unique link or code. We may exclude referrals we reasonably believe are fraudulent, automated, self-referrals, or otherwise gamed.
Your responsibilities when sharing
When sharing your referral link or Buddy Pass code, you agree to:
only share with people you have an existing personal, family, or domestic relationship with, or who you reasonably believe would be interested in Zyrrah;
not share through channels that constitute spam, bulk unsolicited messaging, or harassment;
not share in any way that misrepresents Zyrrah, the offer, or your relationship with us;
comply with the Spam Act 2003 (Cth) and any other laws that apply to your own communications.
You are responsible for the messages you send when sharing your referral link. Zyrrah is not the sender of those messages and is not liable for how you choose to share.
Promotional designations
Any references to founding member numbers, tiers, or status (including "Golden Hour" or similar designations) are promotional and confer no ownership, equity, or guaranteed entitlement to any service.
8. Not medical or psychological advice
Zyrrah is a wellbeing platform designed to support general psychological wellbeing. It is not a substitute for professional medical, psychological, or mental health advice, diagnosis, or treatment. Any content on the Platform, marketing email, or related material is general in nature and provided for information only. This reflects the disclaimers in the Licence Agreement, which also apply.
If you are experiencing distress or a mental health crisis, please contact a qualified health professional or emergency services in your area.
9. Intellectual property
All content on our website, on the Platform, and in our emails — including the Zyrrah name, logo, copy, software, and design — is owned by or licensed to Pulse Australasia Pty Ltd. The intellectual property rights in the Zyrrah Platform and related materials are dealt with in full in the Licence Agreement. You must not copy, reproduce, or use our content without our written permission, except for your own personal, non-commercial use of the Platform as permitted by the Licence Agreement.
10. Acceptable use
You agree not to:
provide false or misleading information;
use the Platform or referral system to send spam, bulk unsolicited messages, or harass others;
share your referral link or Buddy Pass code in any way that breaches the Spam Act 2003 (Cth), or any other applicable law;
misrepresent Zyrrah, our offers, or your relationship with us when sharing your referral link or Buddy Pass code;
use the Platform for any unlawful purpose.
These obligations are in addition to your obligations and the restrictions on use of the Zyrrah Software set out in the Licence Agreement. We may suspend or remove your account, or disable your referral link, if you breach these Terms or the Licence Agreement.
11. Indemnity
You agree to indemnify Pulse Australasia Pty Ltd against any loss, claim, or cost (including reasonable legal fees) arising from your breach of these Terms or your misuse of the Platform or referral system, in addition to any indemnity given under the Licence Agreement.
12. Liability
To the maximum extent permitted by law, Pulse Australasia Pty Ltd is not liable for any loss or damage (including indirect or consequential loss) arising from your use of the Platform, our emails, or any related material. The limitations and exclusions of liability in the Licence Agreement also apply. Nothing in these Terms excludes any guarantees, rights, or remedies you have under the Australian Consumer Law that cannot lawfully be excluded.
13. Privacy complaints and dispute resolution
Privacy complaints. If you have a concern about how we have handled your personal information, the process for raising it with us, and for escalating to the Office of the Australian Information Commissioner (OAIC), is set out in the Privacy Policy. You can contact us first at admin@zyrrah.app.
Other disputes. For any other concern, please contact us first at admin@zyrrah.app so we can try to resolve it. If we cannot resolve the matter within a reasonable time, both parties agree to attempt resolution through mediation before commencing court proceedings, except where urgent relief is required, and subject to the dispute and termination provisions of the Licence Agreement.
14. Changes to these Terms
We may update these Terms from time to time. The current version will always be available on our website and on the Platform, and material changes will be communicated by email or on the Platform. Continuing to use your account after changes means you accept the updated Terms. Changes to the Licence Agreement and Privacy Policy are governed by those documents.
15. Severability
If any provision of these Terms is found by a court or tribunal to be invalid, illegal, or unenforceable, that provision will be severed and the remaining Terms will continue in full force and effect.
16. Relationship with other documents
These Terms operate together with the Zyrrah Licence Agreement and the Privacy Policy. To the extent of any inconsistency in relation to your licence to use the Zyrrah Platform, the Licence Agreement prevails. To the extent of any inconsistency in relation to the handling of your personal information, the Privacy Policy prevails. Together, these documents constitute the entire agreement between you and Pulse Australasia Pty Ltd in relation to the Zyrrah Platform and supersede any prior representations or understandings.
17. Governing law
These Terms are governed by the laws of New South Wales, Australia, and you submit to the exclusive jurisdiction of the courts of that State, consistent with the Licence Agreement.
